1. Agreement to Terms

By accessing or using Northern Contractor Network ("NCN," "we," "our," or "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services. We reserve the right to modify these Terms at any time, and your continued use of the platform constitutes acceptance of any changes.

2. Description of Service

Northern Contractor Network is an online platform that connects homeowners with professional contractors for home improvement and renovation projects. Our services include:

• Contractor directory and search functionality
• Quote request and messaging system
• Project photo galleries and inspiration
• Review and rating system
• Contractor profile management tools

NCN acts as a facilitator and is not responsible for the quality, safety, or legality of services provided by contractors, nor the accuracy of contractor listings.

3. User Accounts

3.1 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information as necessary to maintain its accuracy.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion.

4. User Conduct

You agree not to:

• Provide false, misleading, or inaccurate information
• Impersonate any person or entity
• Harass, threaten, or defame other users
• Post inappropriate, offensive, or illegal content
• Violate any applicable laws or regulations
• Attempt to gain unauthorized access to our systems
• Use automated systems (bots, scrapers) without permission
• Interfere with or disrupt the platform's operation
• Collect user information without consent
• Use the platform for any commercial purpose without authorization

5. Contractor Responsibilities

If you are a contractor using our platform, you additionally agree to:

• Maintain all required licenses, permits, and insurance
• Provide accurate information about your services, qualifications, and pricing
• Respond to quote requests and inquiries in a timely manner
• Perform services professionally and in accordance with industry standards
• Comply with all applicable laws, building codes, and regulations
• Handle disputes with homeowners professionally
• Not use the platform to solicit work outside our terms

6. Content Ownership and License

6.1 Your Content

You retain ownership of content you submit to the platform (photos, reviews, descriptions). By submitting content, you grant NCN a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting our services.

6.2 Our Content

All content on the platform, including text, graphics, logos, and software, is owned by NCN or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use our content without express written permission.

7. Reviews and Ratings

Our platform allows users to post reviews and ratings of contractors. By posting a review, you agree that:

• Your review is based on your genuine experience
• You will not post false, defamatory, or misleading content
• You will not receive compensation for posting positive reviews
• NCN may moderate, edit, or remove reviews at our discretion

Reviews represent the opinions of individual users and do not reflect the views of NCN.

8. Payment and Fees

Certain features of our platform may require payment. By using paid services, you agree to:

• Pay all applicable fees as described on the platform
• Provide accurate billing information
• Authorize us to charge your payment method
• Pay for services rendered between contractors and homeowners separately from NCN fees

All fees are non-refundable unless otherwise stated. We reserve the right to change our fees at any time with notice.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Warranties of merchantability and fitness for a particular purpose
• The accuracy, reliability, or completeness of content on the platform
• That the platform will be uninterrupted, secure, or error-free
• The quality, safety, or legality of services provided by contractors

NCN does not endorse, guarantee, or assume responsibility for any contractor or service advertised on our platform.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NCN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL ARISING OUT OF YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless NCN and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to your use of the platform, your violation of these Terms, or your violation of any rights of another party.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.

12.2 Arbitration

Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act of Ontario.

13. Termination

We may terminate or suspend your access to the platform immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the platform will immediately cease.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
